Terms of Service

These Terms of Service (“Terms”) are an agreement between you and VEYDEX (“VEYDEX,” “we,” “us”) and govern your use of the VEYDEX website and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. Who can use VEYDEX

• You must be at least 13 years old to create an account. If you're under 18, you need a parent or guardian's permission, and they agree to these Terms on your behalf.
• Accounts marked as high school students can't receive messages from recruiters. Recruiters can still view their public record.
• You must give accurate information and keep it up to date. You may have only one student account.
• You're responsible for keeping your password safe and for everything that happens under your account. Tell us right away if you think someone else has accessed it.
• Recruiter accounts are for people hiring on behalf of a real company and must be kept separate from student accounts.

2. What VEYDEX is (and isn't)

VEYDEX is an educational tool for posting and tracking hypothetical stock “calls” and comparing them to the S&P 500. No real money is invested. VEYDEX does not give investment, legal, or tax advice and is not a broker-dealer or investment adviser. Nothing on the Service is a recommendation to buy or sell any security. See our Disclaimer.

3. Calls are permanent

When you submit a call, it's timestamped and locked. You can't edit, hide, or delete an individual call. You may close an open call early, and that early close is recorded. Calls are removed only if you delete your entire account. This is what makes records trustworthy, and you agree to it. If we find an error in market data, we may correct a score and will show the corrected inputs.

4. Who sees your record

Your score, win rate, number of calls, rank, recent wins and losses, and the reasons you write are public. Your exact returns, full call history, and detailed statistics are shown only to you and to recruiters with a paid plan. The details are in our Privacy Policy.

5. Verification

The “Verified student” badge means you confirmed access to a school email address (checked automatically for .edu and similar school-only addresses, or reviewed by a person for other school addresses). It doesn't mean VEYDEX has verified your enrollment, identity, or qualifications. Each school email can verify only one account. We may remove a badge if we believe it was obtained improperly.

6. Your content

You own what you write and upload (your reasons, reflections, comments, profile, and portfolio). You give VEYDEX a worldwide, non-exclusive, royalty-free license to host, display, and share that content to run the Service: for example on your profile, leaderboards, club and competition pages, share images, and reports, and with recruiters as described in these Terms. This license ends when you delete the content or your account, except for copies in backups that are deleted on our normal schedule.

You agree not to post or upload content that:

• is false or misleading in a way meant to manipulate the price of a security;
• includes material non-public information or breaks any securities law;
• harasses, threatens, or impersonates anyone, or shares someone else's personal information;
• is illegal, hateful, or sexually explicit, or infringes anyone's copyright or other rights; or
• advertises or promotes paid services, securities, or other products.

We may remove content that breaks these rules (other than the locked results of calls).

7. Fair play

You agree not to:

• create multiple accounts, or use bots or automation to post calls or messages;
• try to get around the daily call limit, competition rules, or any other limit;
• interfere with, scrape, reverse-engineer, or attack the Service; or
• misrepresent your VEYDEX record to employers, schools, or anyone else.

8. Clubs

• Anyone with a club's invite link can join. Officers can change the link, change roles, and remove members.
• Club pages show members and a combined record built from members' calls.
• Members can leave peer reviews on clubmates' closed calls; the tally is shown publicly on the call.
• Club discussions and private pitch-offs are visible only to that club's members. Don't post anything you wouldn't want every member to see.
• Clubs aren't affiliated with or endorsed by any school unless the school says so.

9. Competitions

• No purchase is necessary to enter or win. Paid plans give no advantage in competitions.
• Each competition's page states its entry window, number of calls, horizon, and prize. Those rules are part of these Terms.
• Winners are decided automatically by the same scoring used for every call. Results are final once every competition call has closed, except to correct data errors or rule violations.
• Your name, school, and competition score are shown on the competition leaderboard.
• Prizes are provided by the sponsor named on the competition page, who is responsible for delivering them. Winners may need to confirm eligibility and are responsible for any taxes. Void where prohibited.
• If you've turned on “Open to recruiter contact,” a sponsor may receive your name, school, score, and profile link if you finish near the top.
• We may disqualify entries that break these Terms or the competition rules.

10. Paid plans and billing

• VEYDEX Plus: $7/month or $59/year.
• Club Pro: $15/month or $99/year per club, billed to the officer who buys it.
• VEYDEX for Recruiters: $59/month or $590/year.
• Automatic renewal: paid plans are billed in advance through our payment processor, Stripe, and renew automatically at the end of each month or year until you cancel. Prices are shown before you pay.
• Cancel anytime online: cancel in Settings (or on your club's manage page) through the billing portal. You keep access until the end of the period you've paid for, and you won't be charged again.
• Refunds: except where required by law, payments are non-refundable, including for partial periods.
• Price changes: we'll give you at least 30 days' notice before a new price applies to your next renewal.
• No paid plan changes how calls are scored or verified.

11. Recruiter accounts

If you use a recruiter account, you agree to:

• give accurate information about yourself and your company;
• contact students only about genuine jobs, internships, or professional conversations;
• not send spam, ask students for money, or request financial or personal account information;
• not copy, scrape, resell, or share student data or portfolios outside your own hiring process;
• respect a student's decision if they decline or don't reply; and
• understand that when you view a student's full record, that student may see your name, title, and company in their “Recruiter interest” list.

You can send up to 50 contact requests a month. We may suspend recruiter accounts that break these rules, without a refund.

12. Portfolios

Plus members may upload a portfolio to share with subscribed recruiters. Only upload material you have the right to share, and never include anyone else's personal information or material non-public information. You can remove it at any time in Settings.

13. Our intellectual property

The VEYDEX name, logo, website, and software belong to us. You may share links to and screenshots of your own record, but you may not copy the Service or use our brand in a way that suggests we endorse you. If you send us feedback, we may use it without owing you anything.

14. Copyright complaints

If you believe content on VEYDEX infringes your copyright, email ethangbell1@gmail.com with a description of the work, where it appears on VEYDEX, and your contact information. We'll review it and remove infringing content.

15. Market data

Prices come from third-party providers and may contain errors or delays. We're not responsible for errors in third-party data, but we'll correct scores when we find them.

16. Ending your account

You can delete your account at any time in Settings. Deleting your account permanently deletes your profile, calls, portfolio, and messages, and cancels any active subscription. We may suspend or end your access if you break these Terms or if we stop offering the Service.

17. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, including warranties of accuracy, merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that a recruiter will contact you, that a student will accept a request, or that the Service will be uninterrupted or error-free.

18. Limitation of liability

To the fullest extent allowed by law, VEYDEX won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or opportunities, arising from your use of the Service. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim or $50.

19. Indemnity

You agree to cover any claims, losses, or costs (including reasonable legal fees) that arise from your content, your use of the Service, or your breaking these Terms.

20. Disputes

If you have a problem with VEYDEX, please email ethangbell1@gmail.com first; most issues can be solved quickly. These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute that we can't resolve informally will be handled in the state or federal courts located in Orange County, California, or in small claims court where it qualifies.

21. Changes

We may update these Terms. If we make material changes, we'll notify you by email or on the site before they take effect. Continuing to use the Service after that means you accept the updated Terms.

22. Everything else

These Terms are the entire agreement between you and VEYDEX about the Service. If any part is found unenforceable, the rest stays in effect. If we don't enforce a right right away, we haven't given it up. You may not transfer your account or these Terms; we may transfer them as part of a merger or sale of the Service.
